ANNUAL MEETING

MINUTES

Bob Amenta called the Annual Meeting of the membership to order at 6:00 p.m. at the Westlake Yacht Club. Due notice was given by First Class Mail.

MEMBERS PRESENT

Bob Amenta, Richard Donohue, Sandy Olsen, Kathleen Roth and Ann Nelson.

OTHERS PRESENT

Ilene Decker, Association Manager, The Emmons Company and Kelli Gurski, Recording Secretary, The Emmons Company and approximately 30 homeowners.

QUORUM ESTABLISHED

Ilene Decker reported that a quorum of 157 homeowners has been established; 143 were necessary to fulfill the quorum requirement for the Annual Meeting.

APPROVAL OF MINUTES

The Minutes of the June 22, 2011 Attempted Annual Meeting and the July 11, 2011 Adjourned Annual Meeting were reviewed by the membership. By motion from Sandy Olsen, seconded by Richard Donohue, the minutes were unanimously approved as submitted.

IRS RESOLUTION

With a motion made by Sandy Olsen and seconded by Richard Donohue, the membership unanimously approved the IRS Revenue Ruling 70-604, 75-370 and 75-371, in which any excess-operating funds will be transferred to Reserves.

ELECTION RESULTS:

Five candidates were elected for five open positions.

Richard Donahue – 117
Sandy Olsen – 109
Kathleen Roth – 107
Ann Nelson – 118

ADJOURNMENT

There being no further discussion, the meeting was adjourned at 6:28 p.m.
